Please read these Terms of Service (“Terms”) carefully before accessing or using the Kumpanio website, mobile application, or any related products or services (collectively, the “Platform”).
1. Acceptance of Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between Kumpanio Private Limited, a company incorporated under the laws of India (“Kumpanio,” “Company,” “we,” “us,” or “our”), and every individual or entity (“User,” “you,” or “your”) accessing or using the Kumpanio website, mobile application, and all related products, features, content, and services (collectively, the “Platform”).
By accessing, registering for, browsing, or using the Platform, creating an account, submitting a booking request, accepting a booking, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Refund Policy, Community Guidelines, and any other policies published by Kumpanio, each of which forms an integral part of this Agreement.
If you do not agree to these Terms, you must immediately discontinue all use of the Platform.
If you access or use the Platform on behalf of a company, partnership, organization, or other legal entity, you represent and warrant that you are duly authorized to bind such entity to these Terms. In such cases, references to “you” include both the individual user and the relevant legal entity.
Kumpanio reserves the right to amend these Terms at any time. Material changes will be communicated through the Platform, email, or other reasonable means. Continued use of the Platform following the effective date of such changes constitutes your acceptance of the revised Terms.
2. Definitions
For the purposes of these Terms, unless the context otherwise requires:
- “Booking” means a confirmed engagement between a User and a Companion arranged through the
Platform for a specified date, time, duration, purpose, and applicable fee.
- “Companion” means an independent individual who has successfully completed Kumpanio's onboarding and verification process and is approved to provide lawful, platonic companionship services through the
Platform.
- “Company”, “Kumpanio”, “we”, “our”, or “us” means Kumpanio Private Limited and its successors and permitted assigns.
- “Content” means all information, text, photographs, videos, reviews, ratings, messages, profile details, graphics, logos, software, and other material available on or uploaded to the Platform.
- “KYC” means Know Your Customer verification conducted by Kumpanio, which may include identity verification, government-issued identification, age verification, facial verification, address verification, background verification, or any additional verification reasonably required by the Company.
- “Platform” means the Kumpanio website, mobile applications, software, APIs, communication systems, and all related services operated by the Company.
- “Platform Fee” means the fee, commission, service charge, convenience fee, or any other amount retained by Kumpanio for facilitating a Booking through the Platform.
- “Services” means the technology-enabled marketplace services provided by Kumpanio, including discovery, matching, booking facilitation, payment processing, verification, customer support, dispute assistance, and related platform functionality.
- “User” means any individual accessing or using the Platform, including individuals booking companionship services and Companions registered on the Platform, unless the context specifically requires otherwise.
3. Eligibility
Access to and use of the Platform is restricted to individuals who satisfy all of the following eligibility requirements:
- are at least twenty-two (22) years of age at the time of registration and throughout their use of the
Platform;
- possess the legal capacity to enter into a valid and binding contract under the Indian Contract Act, 1872;
- are not prohibited, restricted, or otherwise disqualified from using the Platform under any applicable law;
- successfully complete Kumpanio's identity verification (“KYC”), age verification, and any additional verification procedures required by the Company;
- provide accurate, complete, and current information during registration and throughout their use of the
Platform.
Kumpanio reserves the right to verify a User's eligibility at any time and may require additional documentation or information to confirm continued compliance with these eligibility requirements.
The Company may refuse registration, suspend, restrict, or permanently terminate any account where it reasonably believes that a User:
- has provided inaccurate or misleading information;
- has submitted forged or fraudulent identification documents;
- no longer satisfies the eligibility criteria;
- has attempted to circumvent KYC or verification procedures; or
- otherwise violates these Terms or applicable law.
Individuals under twenty-two (22) years of age are strictly prohibited from creating an account, making bookings, registering as a Companion, or otherwise using the Platform.
4. Nature of the Platform
Kumpanio operates solely as a technology-enabled online marketplace that facilitates connections between verified Users and verified Companions for lawful, platonic companionship experiences.
The Platform enables Users to discover, communicate with, and book verified Companions for social, recreational, cultural, travel, networking, dining, wellness, entertainment, and similar lawful activities.
Kumpanio does not itself provide companionship services.
Kumpanio does not assign, direct, supervise, manage, or control the manner in which a Companion provides companionship during a Booking.
Each Booking represents an independent arrangement between the User and the Companion facilitated through the Platform.
Companions retain sole discretion over:
- accepting or declining Booking requests;
- maintaining their availability;
- determining whether a Booking falls within their comfort and safety preferences;
- ending a Booking where reasonably necessary for their safety or where these Terms are violated.
Kumpanio's role is limited to providing technology infrastructure that facilitates bookings, identity verification, payment processing, customer support, and trust and safety measures.
Nothing contained in these Terms shall be interpreted as creating an employment relationship, partnership, agency, franchise, joint venture, fiduciary relationship, or similar legal relationship between Kumpanio and any Companion or User.
5. Marketplace Disclaimer
Kumpanio is not:
- an escort service;
- a dating platform;
- a matchmaking service;
- a matrimonial service;
- a social networking platform intended for romantic relationships;
- an employment agency;
- a travel operator;
- a tour guide service;
- a hospitality provider; or
- a provider of companionship services.
The Company merely facilitates lawful introductions between verified Users and verified Companions through a technology platform.
Kumpanio does not guarantee:
- compatibility between Users and Companions;
- satisfaction with any Booking;
- personal chemistry;
- friendship;
- future interactions;
- quality of conversations;
- punctuality;
- behavior;
- safety beyond the reasonable verification procedures undertaken by the Company;
- uninterrupted availability of Companions; or
- successful completion of every Booking.
Although Kumpanio undertakes reasonable verification measures before approving Users and Companions, such verification should not be interpreted as a guarantee regarding any person's character, conduct, intentions, honesty, reliability, or future behavior.
Users and Companions remain solely responsible for their own decisions, conduct, safety, communications, and interactions before, during, and after every Booking.
6. User Accounts
Users must create an account to access certain features of the Platform.
Each User may maintain only one active account unless expressly authorized by Kumpanio.
Users agree to:
- provide accurate and complete registration information;
- maintain the confidentiality of login credentials;
- immediately notify Kumpanio of unauthorized access;
- promptly update any information that becomes inaccurate or outdated;
- use the Platform solely for lawful purposes.
Users shall not:
- impersonate another individual;
- create fake identities;
- use another person's identity documents;
- create multiple accounts without authorization;
- sell or transfer accounts;
- permit third parties to access their account.
The User remains solely responsible for all activities conducted through their account until Kumpanio receives notice of unauthorized use.
Kumpanio reserves the right to suspend, restrict, or permanently terminate any account that violates these Terms or presents a risk to the Platform or its users.
7. Identity Verification (KYC)
To maintain a trusted marketplace, every User and Companion must successfully complete Kumpanio's Know Your Customer (“KYC”) verification process before accessing certain Platform features or participating in Bookings.
Kumpanio may require submission of:
- government-issued photo identification;
- proof of age;
- selfie or facial verification;
- address verification;
- live video verification;
- contact verification;
- payment verification; and
- any additional documentation reasonably required for fraud prevention, legal compliance, or user safety.
Submission of KYC information does not guarantee approval.
Kumpanio reserves the right to reject, suspend, or revoke verification where:
- documents cannot be verified;
- discrepancies exist;
- fraudulent activity is suspected;
- information is incomplete;
- verification requirements are not satisfied.
Users acknowledge that KYC information may be securely processed, stored, shared with authorized verification providers, or disclosed where required by applicable law or lawful governmental requests, in accordance with Kumpanio's Privacy Policy and applicable data protection laws.
8. Companion Verification
In addition to the standard KYC requirements applicable to all Users, every individual seeking to register as a Companion must successfully complete Kumpanio's companion verification process before being permitted to accept Bookings through the Platform.
The verification process may include, without limitation:
- enhanced identity verification;
- age verification;
- background verification, where legally permissible;
- profile review;
- photograph verification;
- video interview or live verification;
- behavioural assessment;
- community standards review;
- communication assessment; and
- any additional onboarding or verification requirements established by Kumpanio from time to time.
Completion of the verification process does not constitute a certification, endorsement, warranty, guarantee, or representation by Kumpanio regarding a Companion's character, competence, reliability, conduct, or suitability.
Kumpanio reserves the absolute right to approve, reject, suspend, or remove any Companion from the Platform at any time where it reasonably believes that such action is necessary to protect the integrity, reputation, safety, or legal compliance of the Platform, its Users, or the Company.
Companion verification may be reviewed periodically, and Kumpanio may require re-verification, updated documentation, or additional information at any time. Failure to comply with such requests may result in suspension or permanent removal from the Platform.
9. User Responsibilities
By using the Platform, each User agrees to act responsibly, lawfully, and in accordance with these Terms. Users shall:
- provide accurate, complete, and up-to-date information at all times;
- use the Platform solely for lawful, platonic companionship purposes;
- treat every Companion with dignity, courtesy, and respect;
- communicate honestly regarding the purpose, location, duration, and nature of each Booking;
- arrive at the agreed meeting location and time, unless the Booking has been cancelled in accordance with these Terms;
- comply with all applicable laws, regulations, and public safety requirements during a Booking;
- immediately report any safety incident, misconduct, fraud, or violation of these Terms through the
Platform.
Users shall not:
- request, solicit, encourage, or participate in any romantic, sexual, escort, or intimate activity through or arising from the Platform;
- harass, threaten, intimidate, discriminate against, abuse, stalk, or coerce any Companion or other User;
- consume or encourage the use of illegal drugs or engage in unlawful activities during a Booking;
- carry or use weapons or dangerous items during a Booking except where lawfully authorized;
- impersonate another individual or provide false identity information;
- attempt to bypass the Platform to avoid applicable fees;
- misuse the Platform for fraudulent, deceptive, or illegal purposes.
Users remain solely responsible for their own conduct before, during, and after every Booking.
10. Companion Responsibilities
Companions acknowledge that they are independent service providers using the Platform to receive Booking opportunities and agree to:
- maintain truthful and accurate profile information;
- keep their availability updated;
- accept only those Bookings they are willing and able to complete;
- arrive punctually at the agreed location;
- conduct themselves professionally, respectfully, and courteously;
- comply with all applicable laws;
- maintain confidentiality regarding User information;
- report any safety concerns or misconduct promptly to Kumpanio.
Companions shall not:
- offer or solicit romantic, sexual, escort, or intimate services;
- request or accept payments outside the Platform;
- pressure Users into extending Bookings outside the Platform;
- consume illegal substances during a Booking;
- discriminate against Users on the basis of any legally protected characteristic;
- share confidential User information;
- misrepresent their identity, qualifications, or background.
Nothing contained in these Terms shall require a Companion to accept any Booking. Companions retain the discretion to decline any Booking request or terminate a Booking where reasonably necessary for personal safety or where these Terms are violated.
11. Booking Process
Kumpanio provides a technology platform that enables verified Users to request Bookings with verified Companions.
A Booking shall be deemed confirmed only when:
- a User submits a Booking request through the Platform;
- the Companion accepts the request through the Platform;
- payment is successfully authorized or received;
- Kumpanio confirms the Booking.
The Company may establish operational procedures governing:
- booking availability;
- dispatch mechanisms;
- response time;
- acceptance windows;
- cancellation windows;
- verification requirements;
- booking modifications.
Kumpanio reserves the right to cancel, suspend, or refuse any Booking where it reasonably believes that:
- fraud has occurred;
- false information has been provided;
- safety concerns exist;
- these Terms may be violated;
- applicable law requires cancellation.
12. Payments
All payments for Bookings shall be processed exclusively through payment methods approved by Kumpanio.
Users agree that:
- all applicable charges shall be paid through the Platform;
- payment authorization may occur at the time of booking;
- Kumpanio may collect Platform Fees, taxes, convenience fees, and any other disclosed charges;
- payments made outside the Platform are prohibited.
Kumpanio may use third-party payment processors to facilitate transactions.
The Company does not store complete payment card information and shall not be responsible for errors, delays, or failures caused by third-party payment service providers.
Where fraud, chargebacks, unauthorized transactions, or payment disputes are suspected, Kumpanio reserves the right to:
- suspend Bookings;
- withhold Companion payouts;
- request additional documentation;
- investigate the transaction;
- cooperate with banks, payment processors, regulators, and law enforcement authorities.
13. Pricing and Taxes
Pricing displayed on the Platform may include:
- Booking charges;
- Platform Fees;
- convenience fees;
- applicable taxes;
- promotional discounts; and
- other charges disclosed before payment confirmation.
All prices displayed are subject to change prior to Booking confirmation.
Users shall be responsible for paying all applicable charges presented during checkout.
Where applicable, Goods and Services Tax (GST) shall be charged in accordance with Indian law.
Companions acknowledge that they remain solely responsible for:
- payment of income tax;
- GST registration where legally required;
- maintenance of financial records;
- any other tax obligations applicable to amounts earned through the Platform.
Where required by applicable law, Kumpanio may deduct or collect taxes at source before releasing payments.
14. Cancellation and Refund Policy
Cancellation of Bookings shall be governed by Kumpanio's Refund Policy, which forms an integral part of these Terms.
Subject to the applicable Refund Policy:
- Users may cancel a Booking before the scheduled commencement time;
- cancellation charges may apply depending upon the timing of cancellation;
- no-shows may be treated as completed Bookings;
- Companion cancellations may result in refunds, replacement Bookings, penalties, suspension, or removal from the Platform.
Refunds, where applicable, shall be processed using the original payment method unless otherwise required by law.
Processing timelines may vary depending upon banking systems and payment service providers.
Kumpanio reserves the right to refuse refunds where:
- these Terms have been violated;
- fraud is suspected;
- chargeback abuse has occurred;
- false claims are submitted.
Nothing contained herein limits any statutory rights available under applicable consumer protection laws.
15. Off-Platform Transactions
To maintain user safety, platform integrity, and fair marketplace operations, all Bookings and payments must be conducted exclusively through the Platform.
Users and Companions shall not:
- exchange payments outside the Platform;
- enter into private arrangements intended to avoid Platform Fees;
- solicit future paid engagements outside the Platform;
- encourage cancellation of Platform Bookings in favour of direct transactions;
- advertise external payment methods for Platform services.
Kumpanio reserves the right to suspend or permanently terminate accounts found to be engaging in off-platform transactions.
The Company may recover any unpaid Platform Fees, losses, damages, investigation costs, or other amounts arising from deliberate circumvention of the Platform.
16. Code of Conduct
All Users and Companions are expected to maintain the highest standards of professionalism, courtesy, and respect.
The following conduct is strictly prohibited:
- harassment;
- discrimination;
- abusive or threatening behaviour;
- intimidation;
- stalking;
- hate speech;
- violence;
- possession of illegal substances;
- unlawful activity;
- solicitation of money;
- fraudulent conduct;
- impersonation;
- recording, photographing, or livestreaming another person without their express consent;
- sharing another person's confidential information without authorization.
Kumpanio maintains a zero-tolerance policy toward serious misconduct.
The Company may investigate reported violations and take any action it considers appropriate, including:
- warnings;
- temporary suspension;
- permanent account termination;
- withholding payments;
- cancellation of Bookings;
- reporting matters to law enforcement authorities.
17. Safety Guidelines
User safety is a core priority of Kumpanio. While the Company implements verification, trust, and safety measures, every User and Companion remains responsible for exercising reasonable judgment during all interactions.
Accordingly, Users and Companions are encouraged to:
- meet only at the agreed location specified in the Booking;
- activate the Booking using the Platform's OTP verification process;
- verify each other's identity before commencing the Booking;
- immediately report any suspicious, threatening, or unlawful behaviour;
- comply with all safety instructions issued by Kumpanio.
Notwithstanding any verification conducted by the Company, Kumpanio does not guarantee the conduct, character, intentions, or future behaviour of any User or Companion.
Users and Companions participate in each Booking voluntarily and acknowledge that all in-person interactions involve inherent risks that cannot be entirely eliminated.
Where Kumpanio reasonably believes that a User or Companion poses a risk to the safety, security, or integrity of the Platform or its community, the Company may immediately suspend or terminate access to the Platform, cancel any pending Bookings, and cooperate with law enforcement or regulatory authorities where required by applicable law.
Child Safety & CSAE
Kumpanio is strictly intended for users who are 22 years of age or older. The Platform does not permit registration, booking, participation, or interaction by minors.
Kumpanio maintains a zero-tolerance policy towards any form of child sexual abuse and exploitation (“CSAE”), child grooming, inappropriate interaction with minors, or any activity that violates child protection laws.
Users and Companions must not:
- Attempt to access, use, or create accounts for minors;
- Share, request, create, store, or distribute any sexual, exploitative, or inappropriate content involving minors;
- Engage in grooming, manipulation, harassment, or inappropriate communication with any person below the legal age;
- Misrepresent their age or identity.
Any suspected violation involving child safety may result in immediate suspension or termination of the account and may be reported to appropriate law enforcement authorities or relevant government agencies as required under applicable laws.
Kumpanio cooperates with lawful investigations and takes reasonable measures to prevent misuse of the Platform for illegal activities.
OTP Verification
To enhance account security and prevent unauthorized access, Kumpanio may require users to verify their mobile number through a One-Time Password (“OTP”) or similar authentication mechanism.
By providing a mobile number, users:
- Confirm that the mobile number belongs to them or that they are authorized to use it;
- Consent to receive OTPs and account-related verification messages;
- Agree to maintain the confidentiality of verification codes.
Users are responsible for ensuring that their account credentials and verification codes are not shared with any third party.
Kumpanio shall not be responsible for unauthorized account access resulting from a user's failure to protect their OTP or account information.
Emergency Assistance
Kumpanio is not an emergency response, medical, or law enforcement service and does not monitor Bookings in real time. If you are in immediate danger or require urgent assistance, contact the nearest police or emergency medical services. Kumpanio may cooperate with lawful authorities where required but cannot provide emergency assistance.
Intellectual Property
All intellectual property rights relating to the Platform, including but not limited to:
- Website and application design;
- Software, source code, algorithms, and technology infrastructure;
- Brand name, trademarks, logos, and visual identity;
- Content created by Kumpanio;
- Platform features, processes, and business methodologies;
are owned by or licensed to Kumpanio and are protected under applicable intellectual property laws.
Users are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform solely for personal and lawful purposes.
Users must not:
- Copy, modify, reproduce, distribute, sell, reverse engineer, or exploit any part of the Platform;
- Use Kumpanio’s trademarks or branding without prior written permission;
- Attempt to extract source code, data, or platform functionality.
Any unauthorized use may result in legal action.
User Content Licence
Users may provide information, images, reviews, feedback, profiles, messages, or other content (“User Content”) while using the Platform.
By submitting User Content, users grant Kumpanio a limited, worldwide, non-exclusive, royalty-free licence to use, store, reproduce, display, process, and distribute such content solely for:
- Operating and improving the Platform;
- Providing marketplace services;
- Enhancing safety and verification processes;
- Improving user experience;
- Marketing and promotional activities where permitted.
Users retain ownership of their User Content.
Users represent and warrant that:
- They own or have necessary rights to submit such content;
- The content does not violate any law or third-party rights;
- The content is accurate and not misleading.
Kumpanio reserves the right to remove content that violates these Terms or applicable laws.
Privacy & DPDP Act
Kumpanio respects user privacy and processes personal data in accordance with applicable Indian privacy laws, including the Digital Personal Data Protection Act, 2023 (“DPDP Act”) and related regulations.
Kumpanio may collect and process personal data including:
- Identity information;
- Contact details;
- Verification information;
- Profile information;
- Booking history;
- Payment-related information;
- Communication records;
- Device and usage information.
Personal data may be processed for purposes including:
- Account creation and management;
- Identity verification;
- Booking facilitation;
- Payment processing;
- Fraud prevention;
- Platform security;
- Customer support;
- Legal compliance.
Kumpanio implements reasonable security practices to protect personal data against unauthorized access, disclosure, alteration, or misuse.
Users may exercise applicable rights under the DPDP Act, including rights relating to access, correction, withdrawal of consent, and grievance redressal, subject to applicable legal limitations.

Electronic Consent
By accessing or using the Platform, users provide their electronic acceptance of these Terms, Privacy Policy, and other applicable policies.
Electronic actions including:
- Clicking acceptance buttons;
- Creating an account;
- Completing verification;
- Making bookings;
- Using Platform features;
shall constitute valid electronic consent and agreement under applicable Indian laws, including the Information Technology Act, 2000.
Users acknowledge that electronic records maintained by Kumpanio may be used as evidence of acceptance and transactions.
Communications Consent
By registering on Kumpanio, users consent to receive communications relating to:
- Account verification;
- Booking confirmations;
- Payments;
- Safety updates;
- Service-related notifications;
- Customer support communications.
Users may also receive promotional or marketing communications where they have provided appropriate consent.
Users may opt out of promotional communications through available settings or communication preferences.
Service-related communications necessary for operating the Platform may continue even after opting out of marketing communications.
Third-Party Services
Kumpanio may integrate or use third-party services, including:
- Payment gateways;
- Identity verification providers;
- Cloud infrastructure providers;
- Analytics providers;
- Communication service providers;
- Customer support tools.
Such third-party services may collect or process information according to their own privacy policies and terms.
Kumpanio does not control and is not responsible for the independent practices, availability, security, or policies of third-party services.
Users agree that their use of such third-party services may be subject to additional terms imposed by those providers.
Platform Availability
Kumpanio aims to maintain reliable access to the Platform; however, uninterrupted availability cannot be guaranteed.
The Platform may occasionally be unavailable due to:
- Maintenance activities;
- Technical failures;
- Updates;
- Security measures;
- Internet or infrastructure issues;
- Events beyond Kumpanio’s reasonable control.
Kumpanio reserves the right to modify, suspend, or discontinue any Platform feature temporarily or permanently.
Suspension & Termination
Kumpanio may suspend, restrict, or terminate a user's account if:
- The user violates these Terms;
- Provides false or misleading information;
- Fails verification requirements;
- Engages in fraudulent, abusive, unsafe, or unlawful behaviour;
- Attempts off-platform transactions to avoid Platform fees;
- Creates safety risks for other users or Companions.
Users may request account closure at any time, subject to completion of pending obligations.
Termination does not affect rights, obligations, or liabilities that arose before termination.
Kumpanio may retain certain information where required for legal, safety, security, or compliance purposes.
Disclaimer of Warranties
The Platform is provided on an “as available” and “as is” basis.
To the maximum extent permitted under applicable law, Kumpanio does not guarantee that:
- The Platform will always be uninterrupted or error-free;
- All users or Companions will meet individual expectations;
- Information provided by users will always be accurate;
- Every interaction will result in a satisfactory experience.
Kumpanio facilitates connections between Users and Companions but does not guarantee personal compatibility, friendship outcomes, or specific experiences.
Users are responsible for exercising appropriate judgment and safety precautions.
Limitation of Liability
To the maximum extent permitted under applicable law, Kumpanio, its founders, employees, affiliates, partners, and service providers shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, business opportunities, reputation, or data;
- Personal disagreements or interactions between Users and Companions;
- Actions, omissions, conduct, or representations of Users or Companions.
Kumpanio’s total liability arising out of or relating to the Platform shall be limited to the amount of fees actually paid by the affected User to Kumpanio during the three (3) months immediately preceding the event giving rise to the claim.
Indemnification
Users agree to indemnify, defend, and hold harmless Kumpanio, its founders, directors, employees, affiliates, partners, service providers, and representatives from any claims, damages, losses, liabilities, costs, expenses, or legal proceedings arising out of or relating to:
- Violation of these Terms or applicable laws;
- Misuse of the Platform;
- False, inaccurate, or misleading information provided by the User;
- Breach of representations, warranties, or obligations;
- Interactions, conduct, or disputes between Users and Companions;
- Violation of any third-party rights, including intellectual property, privacy, or contractual rights;
- Fraudulent, abusive, unlawful, or harmful activities conducted through the Platform.
Kumpanio reserves the right to assume exclusive control of the defence of any matter subject to indemnification, and Users agree to cooperate with Kumpanio in such defence.
This indemnification obligation shall survive termination of the User’s account or these Terms.
Force Majeure
Kumpanio shall not be responsible or liable for any failure, delay, interruption, or inability to provide Platform services caused by events beyond its reasonable control (“Force Majeure Events”).
Such events may include, but are not limited to:
- Natural disasters;
- Floods, earthquakes, fires, or extreme weather conditions;
- Government restrictions, regulatory actions, or changes in law;
- War, terrorism, civil unrest, or public emergencies;
- Internet failures, telecommunications failures, or infrastructure disruptions;
- Cybersecurity incidents beyond reasonable control;
- Labour disputes or operational disruptions;
- Failures of third-party service providers.
During the occurrence of a Force Majeure Event, Kumpanio’s obligations may be temporarily suspended to the extent affected by such circumstances.
Kumpanio shall make reasonable efforts to restore Platform availability when reasonably possible.
Dispute Resolution & Arbitration
Kumpanio aims to resolve disputes through transparent and efficient communication.
In case of any dispute, concern, or claim arising out of or relating to these Terms, the Platform, or services provided through Kumpanio, Users agree to first attempt resolution through Kumpanio’s customer support and grievance mechanism.
If the dispute cannot be resolved within a reasonable period, the parties shall attempt to resolve the matter through mutual discussion.
Where required, disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.
The arbitration shall:
- Be conducted by a sole arbitrator mutually appointed by the parties;
- Be conducted in English;
- Take place virtually or at a mutually agreed location;
- Result in a final and binding decision.
The arbitration proceedings and related information shall remain confidential unless disclosure is required by law.
Nothing in this clause prevents Kumpanio from seeking urgent injunctive or equitable relief from a court of competent jurisdiction where necessary to protect its rights, intellectual property, confidential information, or Platform security.
Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India.
Any matters arising from or relating to these Terms, the Platform, or services provided through Kumpanio shall be subject to the applicable laws, rules, and regulations of India.
Subject to the arbitration provisions above, courts located in Gurugram, Haryana, India shall have exclusive jurisdiction over disputes that are not subject to arbitration.
Miscellaneous
Entire Agreement
These Terms, along with Kumpanio’s Privacy Policy and other applicable policies, constitute the entire agreement between the User and Kumpanio regarding the use of the Platform and supersede any prior communications or understandings.
Amendments
Kumpanio may modify, update, or revise these Terms from time to time to reflect changes in:
- Business operations;
- Platform features;
- Legal requirements;
- Safety practices;
- Regulatory obligations.
Updated Terms shall become effective upon publication on the Platform unless otherwise specified.
Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, such provision shall be modified or removed only to the extent necessary, and the remaining provisions shall continue to remain valid and enforceable.
Waiver
Failure by Kumpanio to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.
Assignment
Users may not transfer or assign their rights or obligations under these Terms without prior written consent from Kumpanio.
Kumpanio may assign or transfer its rights and obligations to an affiliate, successor entity, or purchaser of its business or assets.
Relationship Between Parties
Nothing in these Terms creates any partnership, employment relationship, agency relationship, franchise relationship, or joint venture between Kumpanio and any User or Companion.
Kumpanio operates as a technology platform facilitating connections between Users and independent Companions.
Contact & Grievance Officer
Kumpanio is committed to addressing user concerns, complaints, and grievances in accordance with applicable Indian laws.
Users may contact Kumpanio regarding:
- Account-related issues;
- Privacy concerns;
- Safety complaints;
- Payment disputes;
- Platform-related concerns;
- Legal or compliance matters.
The Grievance Officer shall acknowledge complaints within the timelines prescribed under applicable laws and make reasonable efforts to resolve grievances. For safety-related concerns, users are encouraged to immediately report incidents through available Platform reporting channels.
